Attempted corporate raid: how the Business Ombudsman Council helped a company regain control of its business

A construction company approached the Business Ombudsman Council following an attempted corporate raid. Due to unlawful registration actions, the rightful owner lost control of the enterprise.

The Ministry of Justice confirmed the unlawful seizure of the company’s corporate rights and revoked the relevant changes. However, this was not enough to immediately restore control over the business. As part of criminal proceedings, the corporate rights were placed under arrest, which blocked the enforcement of the Ministry’s order.

The Council took up the complaint and, in a letter to the Prosecutor’s bodies, drew attention to an important issue: the proceedings initiated based on a complaint by the person who had unlawfully taken over the company’s corporate rights were being actively investigated. At the same time, the lawful owner’s complaint had long gone without proper response, and their motions remained unconsidered. The Council also brought the case for discussion to the Expert Group with the Prosecutor General’s Office.

As a result of the Council’s intervention, the arrest on the corporate rights was lifted, the encumbrances were removed, and the register was updated to restore information about the lawful director. The owner was able to regain control of the business.
